Summary

Placer.ai is looking for a Legal Counsel to assist with a range of legal projects primarily related to commercial contracting needs. You may also provide support with product counseling, corporate governance, and legal operations. Experience with Privacy related matters, especially in the context of data licensing, would also be beneficial.

You will report to Placer’s Senior Legal Counsel and, at times, collaborate directly with outside counsel on specific matters requiring additional expertise.

This is an amazing opportunity to jump in on the ground floor of a growing Legal team at a mature and rapidly growing startup. You’ll work hard, but the team is extremely bright, talented and fun and you’ll learn new skills daily.

Responsibilities

Your primary responsibilities will be to review, draft and negotiate customer, vendor and partner-facing commercial agreements (potentially including SaaS, data license, master service, partnership, data processing, non-disclosure, professional services, vendor and consulting agreements) and to liaise with Placer.ai’s sales organization and Deal Desk team, as needed.

Your secondary responsibilities will be to advise and provide guidance in connection with product counseling, privacy compliance, corporate governance and/or employment matters.

You may also be expected to assist in building Placer.ai’s legal operations function (i.e. policy creation, legal file management and management of outside counsel) as well as other ad hoc legal projects.

You will need to closely collaborate with a wide range of cross-functional business stakeholders (including senior attorneys, C-level executives, sales, customer success, finance, product, information security, operations and deal desk team members) and educate on complex Legal topics.

REQUIREMENTS And QUALIFICATIONS

You must be a qualified attorney, licensed and in good standing to practice law in your state of residence.

You should have at least 3 years' relevant experience in commercial legal practice, including familiarity with software-as-a-service legal contracting.

You are a dedicated, enthusiastic individual who excels as a strong individual contributor, showcasing expertise and demonstrating a willingness to roll up your sleeves to ensure successful completion of tasks and projects.

Ideally you have worked closely with members of a small Legal team and advised varied departments of a startup or other fast-growing organization.

You have a strong, working knowledge of licensing, intellectual property and/or data privacy concepts as well as related regulatory requirements (e.g., CCPA).

You have excellent judgment, a strong analytic ability and a strategic focus. You proactively determine, prioritize and resolve issues and give practical, high-quality advice while balancing company needs and legal risks.

You feel comfortable working independently in a fast-paced environment requiring flexibility and follow-through, while operating under tight timelines and simultaneously managing and prioritizing multiple projects.

Your communication skills, both written and verbal, are excellent and you possess the ability to explain complex legal concepts in a clear and concise manner.

While this is a fully remote position, due to the nature and requirements of the role you must be based in the US.
