Duties : Drive the preparation of client presentation, transaction-related documents, and marketing materials. Create financial and accounting analyses and help identify, research, and analyze M&A and financing opportunities. Monitor the development of these complex financial models for a broad range of corporate finance alternatives. Analyze and manage the analysis of market trends, competitive landscapes, and publicly traded company financials in order to identify potential client solutions and new market opportunities. Conduct and review product, economic, company and industry research and analysis. Perform financial and valuation analysis, including discounted cash flow analysis, LBO analysis, accretion and dilution, IPO pro forma analysis, comparative company analysis, precedent transaction analysis and sum-of-the-parts analysis using both industry standards and proprietary models, accurately reflecting differences between various accounting standards. Analyze and supervise the analysis of current and past accounting and financial records in order to advise management through financial projections preparation, preparing, reviewing, and participating in client presentations. Generate strategy ideas derived from various analyses, forecasts, business plans, research and integrate into presentations for various stakeholders. Conduct due diligence investigations of client companies to ascertain the soundness of their current and forecasted financial situation, to confirm the assumptions used in forecasting projections and the facts presented in marketing materials to investors and potential buyers. Underwrite transaction evaluation, preparation, due diligence, and execution of transactions; and managing the preparation of marketing materials including teasers, information memoranda, and other transaction-related documentation. Act as the financial and strategic advisor for clients while also building and developing relationships through on-going engagement and demonstration of financial knowledge. Generate potential ideas and new business opportunities to clients to help solve problems whether using advisory or capital market solutions.
Requirements : Requires a Master’s degree in Economics, Business Administration, or Finance and at least three (3) years of work experience in the job offered, or a related occupation in technology capital markets.
Must have at least three years of experience demonstrating the following skills:
Using valuation techniques including: DCF (Discounted Cash Flow), LBO (Leveraged Buy-Out), SOTP (Sum-of-the-Parts), and relative methods (comparable trading and transactions)
Performing combination analyses, including accretion/dilution and merger implications
Utilizing technical and financial tools, including: PowerPoint, Excel, FactSet, Bloomberg, Thomson, and Capital IQ
Knowledge of key accounting principles, non-GAAP metrics, transaction requirements and timelines, and performance indicators to effectively position client’s business
Drafting SEC filings and documents including investor presentations
Prepping management team for investor calls and managing diligence requests
Mentoring junior resources and assisting senior bankers in idea generation for prospective pitches
Managing multiple transactions across different product groups including M&A, equity raise, and debt raise.
