IP Licensing Attorney

The Counsel, IP Law is a critical member of the GlobalFoundries (GF) Intellectual Property Law team who will work closely with the Technology Transactions and Alliances (TTA) group and various engineering and business organizations in the negotiation, drafting and approval of technology-related transactions, including technology in-licenses and out-licenses, technology development and similar agreements. This position will report to the Senior Director & Counsel, IP Law responsible for technology transactions. It requires an individual experienced with technology agreements and possessing strong negotiation, contract drafting, legal, analytical, oral communication, and writing skills, and the desire and capability to learn deeply about the semiconductor manufacturing industry, if such knowledge is not already possessed.

Essential Responsibilities:

Reviews, negotiates, drafts and approves technology contracts and similar documents with vendors, customers, universities, research consortia and other partners in a timely manner and consistent with company policy.

Establishes a close working partnership with TTA members in performing the responsibilities mentioned above.

Reviews, negotiates and approves intellectual property terms (licensing, indemnification, warranties, etc.) in foundry wafer manufacturing (sales) contracts.

Counsels and advises various GF departments with respect to a wide range of intellectual property matters.

Assists in continuous improvement of processes and procedures for streamlining legal support, review and approval of technology transactions, including development of intellectual property contract templates.

Assists in intellectual property matters related to GF M&A activities (diligence, transaction documentation and negotiations).

Works on related projects and/or assignments as needed.

Other Responsibilities:

Perform all activities in a safe and responsible manner and support all Environmental, Health, Safety & Security requirements and programs.

Required Qualifications:

A Bachelor’s degree and J.D. degree.

A minimum of 4 years of technology agreement work at a law firm in an outside counsel role or a mix of 8 years of such agreement work at a law firm and in-house at a company.

Excellent legal contract drafting skills, non-legal writing and communication skills.

Excellent interpersonal skills with the ability to work across various disciplines and multiple geographies, to relate comfortably to employees at all levels within the business, and to collaborate effectively with colleagues inside and outside the Legal department.

Highly motivated with the ability to work independently and as part of a team.

Preferred Qualifications:

Familiarity with the semiconductor manufacturing and/or design enablement (EDA software and/or design IP licensing) industries

A Bachelor of Science degree in a science or engineering discipline

Expected Salary Range

$133,100.00 - $254,800.00The exact Salary will be determined based on qualifications, experience and location.
