The Energy - General Counsel - Houston is responsible for managing the company's legal and compliance initiatives. A Testing Inspection Certificate (TIC) and Fuel Additive company that operating Ports, Refineries, Terminals, and outlaying locations of support for their clients across the globe.

They've seen tremendous growth, and want to continue to double and treble that over the next few years. Working across multiple services including:

Inspection of Shoreside/Offshore, Bunker Surveys, Rail/Tanker services, Vessel Performance, ROB Surveys, Tank Inspections, etc

Testing - Petroleum, Agricultural, Renewable, etc

Fuel Additives - Crude, Diesel, Ethanol, Jet Fuel, Fuel Oil, etc

Description

The Energy - General Counsel - Houston will -

Participates in the definition and development of corporate policies, procedures, and programs and provides continuing counsel and guidance on legal matters and implications.

Educates and provides counsel to Company's executive team and Board of Directors regarding compliance, risk management, intellectual property, employment, HS&E, corporate governance and other legal issues.

Serves as Corporate Secretary, and in this capacity maintains the corporate books and records including meeting minutes, articles of incorporation, bylaws and other records of the Company and each of its subsidiaries.

Assumes ultimate responsibility for ensuring that the Company conducts its business in compliance with applicable laws and regulations.

Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for the Company, including marketing agreements, license agreements, real estate leases, confidentiality agreements and other general business contracts both domestically and internationally.

Implement legal training and operating standards for the organization, including litigation avoidance, FCPA and other compliance related programs. Keep current on best practices and regulations.

Serves as legal advisor on all major business transactions, including mergers and acquisitions, divestitures, joint ventures and strategic partnership deals.

Judges the merits of major court cases filed against or on behalf of the Company, works with the appropriate executive(s) to define a strategic defense and provides support on settlements of disputes where warranted (including liaising with insurance on claims).

Profile

The right candidate will -

JD from a leading law school preferred.

Minimum 8 years of relevant work experience, preferably in the Testing Inspection & Certificate Industry.

Business acumen and excellent commercial judgment.

Someone out of the Energy industry - could be Oil & Gas pipeline, terminals, renewables, power generation, etc

Exceptional if worked for a Private Equity owned company previously.

International transactions and business experience preferred.

Ability to think and act strategically and proactively.

Demonstrated proficiency in a variety of relevant areas including: communication skills (verbal and written); project management skills; negotiation skills; the ability to provide a high level of client service and to do excellent work under difficult time pressures and deadlines.

Strong strategic and analytic skills, excellent presentation and listening skills, and the ability to present complex legal information in a clear and concise manner to a variety of audiences.

It's a broad role, so someone who is capable of that is very much preferred.

A hands on approach - someone who is comfortable providing advise/instructions on disputes across the organization from Grassroots to Executive.

Job Offer

Depending on the experience of the right Energy - General Counsel - Houston there will be:

Base salary up to $325k

Annual bonus 40%
